NOBLIS, INC. QUALIFIED RETIREMENT PLAN Contribution & Match Policy

1. Employee Contribution Rates: Participants are neither required nor permitted to make contributions under the Plan.

2. Employer Match/Contribution Conditions: Noblis contributes an amount equal to 3% of each eligible employee’s base salary for each payroll period.

3. Vesting Schedule/Eligibility:

4. - Participants hired prior to January 1, 2010, are 100% vested in all contributions.

5. - Participants hired on or after January 1, 2010, and actively employed on January 1, 2015, or rehired after that date, are 100% vested.

6. - Participants hired after January 1, 2010, but separated from service prior to January 1, 2015, must follow a specific vesting schedule based on years of service.

7. - Noblis ESI, LLC employees as of February 28, 2014, who performed at least one hour of service after that date, are 100% vested.
